Effective Date: 9.5.2026 Website: https://finnfabrik.com Welcome to Finnfabrik. These Terms of Use govern your use of the Finnfabrik website and related services. By using the service, you agree to be bound by these Terms of Use. This document consists of two parts:

Part 1 – General Terms of Use: Apply to all users (buyers, visitors, and registered users)
Part 2 – Seller Terms: Apply to users who register as sellers and sell products or services

PART 1 – GENERAL TERMS OF USE

1. Service Provider and Service Description

Finnfabrik is an online marketplace and auction platform operating in Finland, enabling the sale and purchase of products through fixed-price listings or auctions. Finnfabrik acts solely as a technical platform provider. The purchase agreement is formed directly between the buyer and the seller. Finnfabrik is not a party to transactions between buyers and sellers. Finnfabrik may offer:

technical payment solutions in cooperation with third parties
platform functionalities
customer support, dispute resolution assistance, and other marketplace-related services

2. Right to Use and Eligibility

By using the service, you confirm that:

You are at least 18 years old
You have the legal capacity to enter into binding agreements
You use the service in accordance with Finnish and EU legislation

3. User Accounts

The user is responsible for securely storing their account credentials. The user account is personal and may not be transferred to another person. Registration information must be accurate and kept up to date.

4. Permitted Use

The user may not:

Violate applicable laws
Publish misleading, false, or illegal content
Infringe on the rights of others
Manipulate auctions or bids
Place bids on their own products (self-bidding)
Disrupt the service (e.g., using bots, scripts, or automation)
Complete transactions for products or services listed on Finnfabrik outside the platform. All transactions initiated through Finnfabrik must be completed through the platform

4A. Circumvention of the Platform

Buyers and sellers are prohibited from completing transactions outside Finnfabrik after establishing contact through the platform for the purpose of avoiding commissions or fees.

Consequences of Violation:

If Finnfabrik has reasonable grounds to suspect or determine that such circumvention has occurred, Finnfabrik may:

recover any lost commissions and fees;
charge an administrative penalty equal to the greater of €100 or three (3) times the avoided commission;
suspend or permanently terminate the accounts involved;
refuse future access to the platform.

Additional Damages:

In cases involving repeated, intentional, or high-value violations, Finnfabrik reserves the right to seek additional damages to the extent permitted by applicable law.

Investigation and Information Requests:

Finnfabrik reserves the right to investigate suspected circumvention of the platform and to request relevant information, documents, or explanations from users. Failure to cooperate may be considered a violation of these Terms of Use.

4B. Prohibited Products and Services

Sellers are prohibited from listing products or services on Finnfabrik whose sale or brokerage is unlawful under Finnish or European Union law. Prohibited products include, but are not limited to, illegal products, counterfeits, dangerous products, stolen property, products requiring a license without the necessary permits, and any other products or services whose sale is contrary to law or Finnfabrik’s policies.

Finnfabrik reserves the right to remove such listings without prior notice.

5. Listings and Auctions

Products may be offered at fixed prices or through auctions. A bid placed in an auction is binding. Auctions may have a reserve price (minimum acceptable price). Finnfabrik is not responsible for the pricing outcome and does not guarantee that the reserve price will be met. If the reserve price is not met, no sale will occur. Finnfabrik reserves the right to cancel, suspend, or relist an auction for a justified reason. Finnfabrik is not a party to the agreement between the seller and the buyer.

6. Payments and Refunds

Buyers’ payments are processed through third-party payment service providers used by Finnfabrik, such as Stripe (via WooPayments). Available payment methods may vary, and Finnfabrik does not guarantee the availability of a specific payment method. The buyer is responsible for completing the payment. Refunds, cancellations, and chargebacks are handled by the seller in accordance with their own terms and applicable consumer protection laws.

6A. Buyer Protection and Disputes

Procedures regarding buyer protection, dispute resolution, returns, and refunds are defined in Finnfabrik’s separate Dispute and Buyer Protection Policy. By using the service, you agree to comply with this policy. The policy is available at: https://finnfabrik.com/riita-ja-ostajansuoja/

7. Consumer Protection

Consumers may have a 14-day right of withdrawal. The seller is responsible for complying with consumer protection laws when selling to consumers (B2C).

8. Platform Liability (DSA)

Finnfabrik acts as a technical intermediary. Finnfabrik does not pre-screen all content but removes illegal content upon receiving notice.

9. Account Suspension or Closure

Finnfabrik reserves the right to suspend or close a user or seller account for justified reasons, including:

Violation of these Terms of Use
Illegal activity
Fraud or misuse
Necessary to protect other users

Account closure will be notified in advance unless unreasonable (e.g., serious fraud). The user has the right to receive the reason for closure in writing.

10. Intellectual Property Rights

All content on the Finnfabrik website is the property of Finnfabrik or its licensors. Unauthorized use of content is prohibited.

11. Limitation of Liability

The service is provided “as is.” Finnfabrik does not guarantee uninterrupted or error-free operation. Finnfabrik is not liable for indirect or consequential damages. To the extent permitted by applicable law, Finnfabrik’s total liability to a user shall be limited to the amount paid by that user to Finnfabrik during the preceding twelve (12) months.

12. Data Protection (GDPR)

Personal data is processed in accordance with the GDPR. More information is available in the Privacy Policy.

13. Changes to Terms of Use

Finnfabrik may update these Terms of Use. Continued use of the service after changes constitutes acceptance of the terms. Significant changes will be notified in advance.

14. Applicable Law

These Terms of Use are governed by Finnish law. Disputes shall be resolved by the competent Finnish court.

PART 2 – SELLER TERMS

1. Seller Registration

Registering as a seller requires that you:

Are at least 18 years old
Provide accurate and complete information
Comply with Finnish legislation, including consumer protection and taxation
Receive approval from Finnfabrik

Finnfabrik reserves the right to accept or reject a seller application at its discretion.

2. Seller Obligations

The seller must:

Provide truthful and up-to-date product information
Sell only legal and authentic products
Handle communication, returns, and disputes professionally
Comply with consumer protection laws when selling to consumers (B2C)
Comply with the prohibition on circumvention of the platform as set out in Part 1, Section 4A of these Terms. Violation may result in account sanctions, financial penalties, and fee recovery as described therein.
Comply with the rules on prohibited products and services as set out in Part 1, Section 4B of these Terms.

3. Listings and Auctions

Products are added through the seller panel. Auction terms must be clearly stated. Artificial bids or self-bidding are prohibited. Finnfabrik may remove or edit listings that violate these terms or the law.

4. Fees and Commissions

Finnfabrik does not charge listing fees, auction fees, or monthly fees. Commission is charged only on completed and finalized sales.

A completed and finalized sale means an order that has been paid for, delivered or collected, and is not subject to an open dispute, return, or cancellation.

Unless otherwise agreed in writing, commission is determined based on the seller’s total monthly sales:

10% – monthly sales up to €600
8% – monthly sales up to €1,250
6% – monthly sales up to €3,000
4.5% – monthly sales over €3,000

Commission is calculated on the product’s selling price (incl. VAT), excluding shipping and delivery costs. Commission is subject to 25.5% VAT under Finnish VAT law. Commission is automatically deducted before payout.

5. Payments and Payouts

5.1 Payment Processing

Buyers’ payments are processed through third-party payment service providers used by Finnfabrik, such as Stripe (via WooPayments). Payments are processed securely. Finnfabrik does not store card details.

5.2 Finnfabrik’s Role

When a buyer makes a purchase, the payment is received by Finnfabrik on behalf of the seller. The funds are not Finnfabrik’s property. Funds are held temporarily solely for the purpose of completing the transaction.

5.3 Order Completion

An order is considered complete when: – the product has been delivered or collected – the order has been marked as complete – any statutory withdrawal or return period has ended

5.4 Holding Period and Payouts

Funds are held for a limited period to ensure delivery and due to statutory withdrawal periods. Payouts are generally made within approximately 14 days of order completion, unless disputes, returns, chargebacks, technical issues, or legal obligations require a longer processing period.

5.5 Seller Payouts

Payments to sellers are made via bank transfer to the seller’s designated account. Sellers are responsible for the accuracy of their payment details. Finnfabrik is not liable for failed payments due to incorrect information.

5.6 Delays and Withholdings

Finnfabrik may delay or withhold payments in the following situations: – disputes between buyer and seller – returns or cancellations – chargebacks – suspected misuse

5.7 Not a Financial Service

Finnfabrik does not provide users with payment accounts, balances, or financial services.

6. Seller’s VAT Obligations

The seller is responsible for their own taxation. Finnfabrik is not a party to the seller’s taxation matters. The seller must verify:

Whether they are liable for VAT
Whether VAT should be added to product prices

Finnfabrik only reports its own commission VAT (25.5%). Finnfabrik does not provide tax advice.

7. Pickup and Delivery

Finnfabrik primarily operates on a pickup-based model. Any delivery methods, costs, and terms must be clearly stated in the listing. Responsibility for the product transfers to the buyer at the time of handover, unless otherwise agreed.

8. Returns and Cancellations

The seller must comply with consumer protection laws and handle returns appropriately. Finnfabrik is not a party to returns.

9. Seller Account Freezing or Closure

Finnfabrik may freeze or close a seller account for justified reasons, including violation of these terms, illegal activity, or suspicion of fraud.

10. Intellectual Property Rights

The seller retains ownership of their content but grants Finnfabrik a non-exclusive, royalty-free right to use and market the listings.

11. Disclaimer and Indemnification

The seller is responsible for their products and agrees to compensate Finnfabrik for damages arising from the seller’s actions or listings.

12. Changes to Seller Terms

Finnfabrik may update the Seller Terms with reasonable advance notice. Continued use of the service after changes constitutes acceptance.

13. Applicable Law

These Seller Terms are governed by Finnish law.
